Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of TailoredGRC's websites, software, and services (collectively, the "Services") provided by TailoredGRC, Inc. ("TailoredGRC," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Services

TailoredGRC provides a governance, risk, and compliance (GRC) software-as-a-service platform. The specific features available to you depend on your subscription plan and any order form executed between you and TailoredGRC.

3. Account and Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify TailoredGRC promptly of any suspected unauthorized use.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, TailoredGRC grants you a non-exclusive, non-transferable, non-sublicensable license to access and use the Services during your subscription term, solely for your internal business purposes.

5. Acceptable Use

You agree not to (a) reverse engineer, decompile, or attempt to derive the source code of the Services; (b) use the Services to violate any law or third-party right; (c) attempt to gain unauthorized access to the Services or related systems; (d) use the Services to send unsolicited communications, malware, or harmful code; (e) interfere with or disrupt the integrity or performance of the Services; or (f) use the Services in any manner that exceeds the scope of your subscription.

6. Customer Data

You retain all rights in data and content you submit to the Services ("Customer Data"). You grant TailoredGRC a limited license to process Customer Data solely to provide and improve the Services and as otherwise expressly permitted by these Terms or the applicable Data Processing Agreement. You represent that you have all necessary rights, consents, and authorizations to submit Customer Data to the Services. 7. Artificial Intelligence

7.1 AI Features

The Services include artificial intelligence features that assist with compliance tasks, such as drafting policies, procedures, and control responses. AI features operate under human review, and you are responsible for reviewing all AI-generated output before relying on it.

7.2 Disclaimer

AI-generated output may contain errors and is provided as a productivity aid, not as legal, compliance, or professional advice. TailoredGRC does not warrant the accuracy or completeness of AI-generated output. 8. Fees and Payment

Fees for the Services are set forth in your order form or subscription plan. Unless otherwise specified, fees are payable annually in advance and are non-refundable. TailoredGRC may suspend Services for non-payment after reasonable notice. Late payments may accrue interest at the maximum rate permitted by law.

9. Confidentiality

Each party may have access to information of the other party that is confidential. Each party agrees to use reasonable measures to protect the other's confidential information, to use such information only for purposes related to these Terms, and not to disclose such information to third parties except as expressly permitted.

10. Intellectual Property

TailoredGRC and its licensors retain all rights in the Services, including all intellectual property rights. Except for the limited license expressly granted in these Terms, no rights are granted to you in or to the Services. Feedback you provide to TailoredGRC may be used by TailoredGRC without restriction.

11. Warranties and Disclaimers

TAILOREDGRC PROVIDES THE SERVICES "AS IS" AND "AS AVAILABLE." TAILOREDGRC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW. TAILOREDGRC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAILOREDGRC'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO TAILOREDGRC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. TAILOREDGRC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold TailoredGRC harmless from claims arising out of your use of the Services in violation of these Terms or applicable law, or your Customer Data infringing the rights of third parties.

14. Term and Termination

These Terms are effective upon your first use of the Services and continue until terminated. Either party may terminate for material breach not cured within thirty (30) days of written notice. Upon termination, your right to access the Services ends. TailoredGRC will make Customer Data available for export for a reasonable period following termination, after which Customer Data will be deleted in accordance with the Data Handling and Classification Policy.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, without regard to its conflicts of laws principles. Any dispute arising out of these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its rules. The location of arbitration shall be the City of St. Louis, Missouri.

16. Modifications

TailoredGRC may modify these Terms from time to time. Material changes will be communicated through reasonable means. Continued use of the Services following the effective date of revised Terms constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with any order form and any incorporated policies and agreements, constitute the entire agreement between you and TailoredGRC regarding the Services. If any provision is held unenforceable, the remainder shall remain in effect. Failure to enforce any provision is not a waiver. These Terms may not be assigned by you without TailoredGRC's prior written consent.
